helm-viz End User Licence Agreement

Version 1.1 · Effective 26 October 2026

Copyright (c) 2026 JCRSTACK PTY LTD. All rights reserved.

This agreement is between JCRSTACK PTY LTD (ACN 703 275 870), trading as JCR Stack (“JCR Stack”, “we”, “us”), and the person or organisation that downloads, installs or uses helm-viz (“you”). If you use helm-viz on behalf of an organisation, you agree to this agreement on its behalf and confirm you are authorised to do so.

1. Definitions and interpretation

(a) Definitions. In this agreement:

  • Software means helm-viz as described in Schedule 1, in any version, form or platform build, including the helm plugin, the standalone binary, the user interface embedded in them, and their accompanying documentation.
  • Key means a registration key issued by us for the Software.
  • Registered User means the individual named in a Key.
  • Updates Date means the date stated in a Key as the date until which it includes updates.
  • Covered Version means a version of the Software whose build date is on or before the Updates Date of a Key.
  • Output means anything you produce with the Software, including diagrams, reports, --check results, and exported HTML, SVG, PNG, draw.io and Mermaid files.
  • Large Organisation means an organisation that, together with every entity it controls, is controlled by or is under common control with, has 250 or more employees, or had annual revenue of A$15 million or more in its most recent financial year.
  • Free Use means use of the Software other than by or on behalf of a Large Organisation, including personal use, education, and work on open-source projects that are not carried out for a Large Organisation.
  • Implied Terms has the meaning given in clause 11(a).

(b) Interpretation. Headings are for convenience only. The singular includes the plural and vice versa. “Includes” is not a word of limitation. A reference to a law includes any amendment or replacement of it.

2. Acceptance

(a) You accept this agreement by doing any of the following, whichever comes first: downloading, installing or using the Software; requesting a download link; or buying a Key.

(b) If you do not agree to this agreement, do not download, install or use the Software.

3. Licence grant

(a) Free use. We grant you a perpetual, worldwide, non-exclusive, non-transferable, royalty-free licence to install and use the Software for Free Use, including commercial use by an individual or by an organisation that is not a Large Organisation, on the terms of this agreement. Free Use does not need a Key. A copy of the Software used without a Key displays a “Free licence” notice in its interface and on exported images.

(b) Large Organisations. Use of the Software by or on behalf of a Large Organisation, including by its employees and contractors and in its automated build and test pipelines, is not Free Use. It needs a Key for each individual who uses the Software for that organisation, as described in clause 4. A Large Organisation may evaluate the Software without Keys for 30 days from its first use.

(c) Devices. You may install and use the Software on any number of devices you use, including physical machines, virtual machines and containers, and in automated build and test pipelines.

(d) Platforms. The Software is published for macOS (Apple silicon and Intel), Linux (x86-64 and ARM64) and Windows (x86-64, standalone binary only). It requires a separately installed copy of helm, which is not part of the Software and is licensed by its own authors. Use on other platforms, or with helm versions we have not tested, is permitted but untested.

(e) Duration. The licences in this clause 3 and in clause 4 continue indefinitely unless ended under clause 15.

4. Registration keys and updates

(a) Who a Key covers. A Key is licensed to one Registered User. It may be used on any number of devices that the Registered User uses. It may also be used in automated build and test pipelines run by the Registered User or their organisation, and that use does not count as an additional user. A Large Organisation needs one Key for each individual who uses the Software for it (clause 3(b)). Anyone else may buy a Key, but does not need one.

(b) What a Key does. A Key registers every Covered Version, which then no longer displays the “Free licence” notice. A Key also entitles the Registered User to download any Covered Version from us.

(c) Updates. A Key includes 12 months of updates. Its Updates Date is 12 months after purchase or, if you buy a Key while an earlier Key of yours has not yet reached its Updates Date, 12 months after that earlier date.

(d) After the Updates Date. Covered Versions remain registered, and you may keep using and downloading them, after the Updates Date. Versions released after the Updates Date display a “Renew” notice. Buying another Key is optional.

(e) Keeping a Key private. You must not share, publish or transfer a Key, or use a Key issued to someone else. We may revoke a Key that has been shared, published or obtained fraudulently. Revocation stops downloads with that Key.

(f) Offline verification. The Software checks a Key on your device. It does not contact us to do so.

5. Licence fee and payment

(a) Free use. No fee is payable for Free Use, or for a Large Organisation’s evaluation under clause 3(b).

(b) Fee. A Key is a one-off purchase. The fee is the amount shown on jcrstack.com when you buy it, in Australian dollars. It is not a subscription and does not renew automatically.

(c) Payment. The fee is payable in full at purchase, by card, through our payment processor Stripe. We do not receive or store your card details. We issue your Key by email once payment is confirmed.

(d) Price changes. We may change the fee for future purchases. A change does not affect a Key you have already bought.

(e) GST. Prices include GST where it applies.

(f) Refunds. If you are not satisfied, email licenses@jcrstack.com within 30 days of purchase and we will refund the fee. Nothing in this agreement limits any right to a refund or other remedy you have under the Australian Consumer Law.

6. Downloads

(a) The Software is available only from jcrstack.com, using a download link we provide for a Key or by email. A link is personal to the person it was issued for, and expires.

(b) You must not re-host the Software, or publish or share download links.

7. Restrictions

Except as this agreement expressly permits, you must not:

(a) distribute, sell, rent, lease, sublicense or otherwise make the Software available to anyone else;

(b) modify, adapt, translate or create derivative works of the Software;

(c) decompile, disassemble or reverse engineer the Software, except to the extent the law expressly permits despite this restriction;

(d) remove, disable, alter or circumvent the Key check, the “Free licence” or “Renew” notices, or the download controls; or

(e) remove or alter any copyright, trademark or licence notice in the Software.

8. Your Output

(a) Your Output belongs to you. We claim no rights in your charts, your values files or your Output.

(b) You may freely use, share, publish and distribute your Output, including exported HTML files and the viewer code embedded in them, for any purpose. That viewer code may be used only to view the exported file.

(c) You are responsible for what you share. The Software removes Secret values from exported files, but an export can include other information from your chart, including the path of the chart directory it was taken from.

9. Ownership

We, and our licensors, own all rights, title and interest, including all intellectual property rights, in the Software and all copies of it. This agreement grants you a licence, not ownership.

10. Third-party components

(a) The Software includes open-source components that are licensed under their own terms, listed in the THIRD-PARTY-NOTICES file distributed with the Software. Those terms govern those components, and nothing in this agreement limits the rights they give you.

(b) helm is separate software, licensed by its own authors. The Software runs the copy of helm on your device; it does not include or distribute helm.

11. Warranties and the Australian Consumer Law

(a) The Competition and Consumer Act 2010 (Cth), including the Australian Consumer Law, and other laws in force in Australia may imply guarantees, warranties and conditions, or impose obligations on us, that cannot be excluded, restricted or modified (“Implied Terms”).

(b) Nothing in this agreement excludes, restricts or modifies any Implied Term or any right or remedy you have under one.

(c) Where an Implied Term applies and the law permits us to limit our liability for its breach, our liability is limited, at our option, to supplying the Software again or paying the cost of having it supplied again.

(d) Subject to the Implied Terms, the Software is provided as it is, and all other representations, warranties and conditions are excluded.

(e) We may offer support, fixes and new versions at our discretion. Subject to the Implied Terms, this agreement does not oblige us to provide them, except that a Key entitles you to download Covered Versions as described in clause 4.

12. Exclusion of indirect loss

Subject to the Implied Terms, we are not liable to you for any indirect, consequential, special or incidental loss, or for loss of revenue, profit, data or business, arising out of or in connection with this agreement or the Software, however caused.

13. Limitation of liability

Subject to the Implied Terms, our total liability to you arising out of or in connection with this agreement or the Software, however caused, is limited to the total fees you paid us for Keys in the 12 months before the event giving rise to the claim.

14. Your indemnity

You indemnify us against any loss, liability, damage, cost or expense we suffer to the extent it results from your breach of clause 4(e), 6 or 7, including any infringement of a third party’s intellectual property rights caused by a modification of the Software that you made.

15. Termination

(a) We may end this agreement by notice to you if you breach it in a material way and, where the breach can be remedied, you do not remedy it within 30 days of our notice asking you to.

(b) When this agreement ends, you must stop using the Software and delete all copies of it in your possession. Clauses 8, 9, 10, 11, 12, 13, 14 and 17 continue after it ends.

(c) Ending this agreement does not affect your rights in your Output.

16. Changes to this agreement

(a) The version of this agreement distributed with a version of the Software governs your use of that version.

(b) We may publish new versions of this agreement. A new version applies only to versions of the Software released, and Keys bought, after it is published.

17. Privacy

(a) The Software does not send your charts, values, Output or usage information anywhere. It runs on your device, and its local server accepts connections only from your device.

(b) When you buy a Key, we collect your name and email address, and Stripe processes your payment. When you request download links, we receive your Key or your email address. We use this information only to issue, resend and verify Keys and to send download links, and we handle it in accordance with the Privacy Act 1988 (Cth) where it applies.

18. General

(a) Severance. If a provision of this agreement is void, illegal or unenforceable in a jurisdiction, it is severed in that jurisdiction only, and the rest of this agreement continues to apply.

(b) Waiver. A failure or delay in exercising a right under this agreement is not a waiver of it.

(c) Assignment. You may not assign or transfer your rights under this agreement. We may assign ours to a successor to the Software, and we will tell Registered Users if we do.

(d) Entire agreement. This agreement is the entire agreement between you and us about the Software, and supersedes any earlier understanding.

(e) Governing law and jurisdiction. This agreement is governed by the laws of New South Wales, Australia. The courts of New South Wales and the Commonwealth of Australia have non-exclusive jurisdiction.

(f) Contact. Notices and questions: licenses@jcrstack.com.
